These Terms of Service (“Terms”) form a binding agreement between you (“Customer”, “you”) and Roushan, Inc., a Delaware corporation with its principal office in Dover, Delaware, United States (“Roushan”, “we”, “us”). Roushan operates the AIgateway and AI Gatewayproducts and brand, including the websites at aigateway.sh, api.aigateway.sh, and related subdomains (collectively, the “Service”). By creating an account, calling the API, or otherwise using the Service you accept these Terms. If you do not accept them, do not use the Service.
AIgateway is a unified AI inference API that relays your requests to upstream model providers (e.g., OpenAI, Anthropic, Google, xAI, Moonshot, Meta, Cloudflare Workers AI, Deepgram, ElevenLabs, Black Forest Labs, Inworld, and others) and returns their responses to you. We charge the upstream cost plus a 5% platform fee, except where we publish a different price. Cached responses bill at 10% of the uncached price. Requests that fail before inference begins do not bill.
You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract. If you use the Service on behalf of an entity, you represent that you are authorized to bind that entity to these Terms. You are responsible for all activity under your account, including API keys you issue to sub-accounts, agents, or end users. Keep your credentials secret; notify us at security@aigateway.sh of any suspected compromise.
Ownership. You retain all right, title, and interest in the prompts, files, embeddings, and other data you submit (“Customer Content”) and, subject to the upstream provider's own terms, in the outputs returned to you (“Outputs”).
Limited license to us. You grant Roushan a worldwide, royalty-free, non-exclusive license to host, process, transmit, and route Customer Content solely for the purpose of operating, securing, debugging, and billing the Service for that single request. We never train, fine-tune, or evaluate any model on Customer Content or Outputs — ours or anyone else's — and we do not disclose them to any third party except the upstream provider you selected for that request.
Your representations. You represent that you have all rights necessary to submit the Customer Content and to use the Outputs as you do. You are responsible for determining whether the Outputs are appropriate, accurate, and lawful for your use case.
You must comply with our Usage Policy, which is incorporated by reference. Individual upstream providers may impose additional restrictions; when you select a model you accept that provider's terms for the duration of the request. Violations may result in immediate suspension or termination without refund of unused credits.
Prepaid credits. You fund your account with prepaid credits via our payment processor (Stripe, Inc.). Credits are consumed as you use the Service at the prices published at aigateway.sh/pricing.
Metering. We meter every request. Cache hits bill at 10% of the uncached model cost. Failed requests that never reach an upstream provider do not bill; failed requests that do reach the provider may bill (we pass the provider's charge through).
Taxes. Prices are exclusive of taxes. You are responsible for all VAT, GST, sales, use, and similar taxes arising from your use of the Service, except taxes on Roushan's net income. If we are required to collect a tax from you we will add it to your invoice.
Chargebacks. If you initiate a chargeback without first contacting us we may suspend your account and recover the disputed amount plus card-network fees.
Prepaid credits are non-refundable once purchased except where refunds are required by applicable law. Unused credits do not expire while your account is active. See our Refund Policy for the full details.
We target 99.99% monthly availability. Service credits for missed targets are governed by our Service Level Agreement, which is incorporated by reference.
The Service relays your requests to third-party model providers. Those providers operate their own infrastructure and set their own terms. We make no representation or warranty about the availability, accuracy, safety, or performance of any upstream provider. If an upstream provider suffers an outage, degrades performance, or retires a model, our liability is limited to routing or refunding the affected requests per the SLA.
Features labelled “Beta”, “Preview”, “Experimental”, or similar are provided as-is, without the SLA, and may change or be removed at any time without notice. Do not rely on Beta features for production workloads.
We may add, modify, or deprecate features of the Service. For material reductions in functionality we will give at least 30 days' notice via email or the dashboard, except where immediate change is required for security, legal, or upstream-provider reasons.
The Service is subject to U.S. export-control laws, including the Export Administration Regulations (EAR) and sanctions administered by the Office of Foreign Assets Control (OFAC). You represent and warrant that you are not located in, under the control of, or a national of any country subject to a U.S. government embargo (currently Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine), and that you are not on any U.S. government list of prohibited or restricted parties (including the SDN List, Entity List, or Denied Persons List). You will not use, export, re-export, or transfer the Service in violation of any applicable export or sanctions law.
You comply with the U.S. Foreign Corrupt Practices Act, the U.K. Bribery Act 2010, and any comparable anti-corruption laws applicable to you.
“AIgateway”, “AI Gateway”, the AIgateway logo, and related marks are trademarks of Roushan, Inc. You may reference “AIgateway” in a factual, non-disparaging way to describe your integration with the Service (e.g., “Powered by AIgateway”). You may not use our marks as part of your own product name or logo, register a confusingly similar mark, or register a domain that incorporates our marks without our prior written consent.
If you send us feedback or suggestions, we may use them without restriction or obligation to you. You grant us a perpetual, worldwide, royalty-free, sublicensable license to use your feedback for any purpose.
We respond to claims of copyright infringement in accordance with the Digital Millennium Copyright Act. To submit a takedown notice or counter-notice, see our DMCA Policy.
By you. You can close your account any time from the dashboard or by emailing legal@aigateway.sh.
By us. We may suspend or terminate your account with reasonable notice for material breach of these Terms. For active abuse, security threats, non-payment more than 15 days past due, or compliance or legal requirements, suspension or termination may be immediate and without notice. Upon termination your right to use the Service ends; provisions intended to survive (including §§ 3, 5, 6, 11, 17–23) survive.
By you. You will defend, indemnify, and hold harmless Roushan, its affiliates, and their officers, directors, employees, and agents from and against any third-party claim, loss, damage, liability, cost, or expense (including reasonable attorneys' fees) arising out of or relating to: (a) Customer Content; (b) your use of Outputs; (c) your violation of these Terms, the Usage Policy, or applicable law; or (d) your infringement of any third-party right.
By us. We will defend you against any third-party claim alleging that the Service, as provided by us and used in accordance with these Terms, infringes a U.S. patent, copyright, trademark, or trade secret, and will pay damages finally awarded or agreed in settlement. This obligation does not apply to claims arising from Customer Content, Outputs generated by upstream providers, modifications not made by us, or use in combination with non-Roushan products or services.
EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT OUTPUTS ARE ACCURATE, COMPLETE, OR FREE OF ERROR, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION), EVEN IF ADVISED OF THE POSSIBILITY. EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THE LIMITS IN THIS SECTION DO NOT APPLY TO A PARTY'S INDEMNIFICATION OBLIGATIONS, YOUR PAYMENT OBLIGATIONS, OR EITHER PARTY'S FRAUD, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT.
Informal resolution. Before filing any formal dispute, the parties will attempt to resolve it informally for 30 days by email to legal@aigateway.sh.
Arbitration. Except as noted below, any dispute arising out of or relating to these Terms or the Service will be resolved by final, binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and, if applicable, its Supplementary Procedures for Consumer-Related Disputes. Arbitration will be conducted in Wilmington, Delaware (or by telephone/video for claims under $25,000, at your option). The arbitrator's decision is final and enforceable in any court of competent jurisdiction.
Class-action waiver. Disputes will be arbitrated only on an individual basis. You and Roushan waive any right to bring or participate in a class action, collective action, or representative proceeding.
Carve-outs. Either party may (a) bring an individual action in small-claims court; (b) seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property or prevent unauthorized use of the Service; and (c) file any proceeding relating to enforcement of the class-action waiver in the Delaware Court of Chancery.
30-day opt-out. You may opt out of this arbitration agreement by emailing legal@aigateway.shwithin 30 days of first accepting these Terms. Your email must include your full name, account email, and the phrase “arbitration opt-out”. Opting out does not affect any other provision of these Terms.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. For disputes not subject to arbitration, the parties consent to the exclusive jurisdiction and venue of the Delaware Court of Chancery, or, if that court lacks jurisdiction, the United States District Court for the District of Delaware. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
We may update these Terms from time to time. For material changes we will give at least 30 days' notice via email or a conspicuous notice on the Service. Continued use after the effective date constitutes acceptance. The current version is always available at aigateway.sh/terms.
Entire agreement. These Terms, together with the Usage Policy, Privacy Policy, DPA (if executed), SLA, and any order form, constitute the entire agreement between the parties and supersede all prior agreements.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, sale of assets, or by operation of law.
Severability. If any provision is held unenforceable, the remaining provisions remain in effect; the unenforceable provision is modified only to the minimum extent necessary.
No waiver. A failure to enforce any right is not a waiver of that right.
Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including acts of God, war, terrorism, riot, strike, pandemic, government action, internet or utility outage, or upstream-provider outage.
Independent contractors. The parties are independent contractors. These Terms do not create a partnership, joint venture, agency, or employment relationship.
Notices. Legal notices to us must be sent to legal@aigateway.sh and to Roushan, Inc., 1111b S Governors Ave, STE 55131, Dover, DE 19904, USA. We may give notice to you via the email on your account or a conspicuous notice on the Service.
No third-party beneficiaries. These Terms do not create any rights in favor of any third party.
